Terms of Service
The agreement between you and Baseway. It covers what we run for you, what we expect from you, what happens when things go wrong, and how either side ends it.
isDraft in lib/legal.ts to false to remove this notice.1. This agreement
These terms are between [Registered company name] (“Baseway”, “we”) and the person or company using the service (“you”). By creating an account or using Baseway you accept them. If you accept on behalf of a company, you confirm you can bind it.
2. What we provide
Baseway is managed PostgreSQL. We provision Postgres instances on servers we operate, create databases on them, take continuous backups so a database can be restored to a point in time, run a connection pooler beside each instance, and give you a dashboard and API to manage it all. We can also import an existing database from a connection string you supply.
An import is a snapshot, not a live migration. Writes that reach the source database after the import begins are not copied. We say so in the product, and we say it here.
3. Accounts and organisations
You sign in with a link sent to your email address, so the security of your account is the security of your inbox. Work happens inside an organisation, which can have several members with different roles. Whoever holds an owner or admin role can add members, change roles, and delete resources — choose them carefully. You are responsible for what the members of your organisation do.
4. Acceptable use
You agree not to:
- break the law with it, or store data you have no right to hold;
- attempt to reach another customer’s data, escape your namespace, or probe our infrastructure beyond the resources assigned to you;
- use the service to attack others — as a source of spam, malware distribution, or denial-of-service traffic;
- deliberately degrade shared infrastructure, or work around the limits of your plan;
- resell raw Baseway capacity as though it were your own hosting product.
Security testing against your own clusters is fine. Tell us first at security@baseway.dev so we don’t mistake you for an attacker.
5. Your data
The contents of your databases are yours. We claim no ownership and we do not read them. We process them only to run the service for you, as described in the Privacy Policy, which forms part of these terms.
Where your data includes personal data about other people, you are the controller and we are your processor. You are responsible for having a lawful basis to hold it and for answering the requests of the people it describes.
Backups are a safety net, not a guarantee. We take them continuously and retain them for the window shown on your cluster, and we have rehearsed the restore procedure against production. You should still verify that a restore produces what you expect before you need it in anger.
6. Availability
We work to keep the service up and will give notice of planned maintenance where we reasonably can. Baseway does not currently offer a contractual uptime commitment or service credits. We would rather say that plainly than publish a number we cannot yet stand behind. If you need a formal SLA, talk to us at legal@baseway.dev before you depend on us.
7. Fees
Paid plans are billed at the prices published on our pricing page or agreed with you in writing, in advance, and are non-refundable except where the law requires otherwise. We will give at least 30 days’ notice by email before a price change affects you. You are responsible for any taxes that apply to you.
If an invoice goes unpaid we may suspend the service after telling you and giving you a reasonable chance to fix it.
8. Suspension and termination
You can close your account at any time. We may suspend or terminate an account that breaches these terms, that puts our infrastructure or other customers at risk, or that has not paid. Except in an emergency, we will tell you first and give you an opportunity to put it right.
When an account closes, we delete your clusters and purge their storage. Backups age out on their retention schedule rather than vanishing the same second. Export anything you want to keep before you close the account — once purged, it is gone, including for us.
9. Warranties
Baseway is provided as it is. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
Nothing in these terms limits rights you have as a consumer that cannot be limited by agreement.
10. Liability
Neither side is liable for indirect, incidental, special, or consequential loss, or for lost profits, revenue, goodwill, or anticipated savings, even if warned they were possible.
Our total liability arising out of these terms in any 12-month period is limited to the amount you paid us for the service in that period. Neither side excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
11. Changes to these terms
We may update these terms. For material changes we will email you at least 30 days before they take effect. Continuing to use Baseway after that means you accept them; if you don’t, close your account before they apply.
12. Governing law
These terms are governed by the laws of [Country / jurisdiction], and the courts of [Country / jurisdiction] have exclusive jurisdiction, without affecting any mandatory protection of the country you live in.
